Terms and Conditions

1. Eligibility and accounts

You must be legally able to enter a binding agreement where you live. If you use the services for an organization, you confirm that you have authority to bind it. You must provide accurate account information, protect your credentials and API keys, and promptly notify us through Support if you suspect unauthorized access. Users under 13 may not create an account. A minor who can legally use the service must have permission from a parent, guardian, school, or other authorized adult where required.

2. AI services and outputs

Nodedistro AI routes requests to artificial intelligence models and may generate text, code, images, documents, presentations, or other files. AI output is probabilistic and can be incomplete, inaccurate, biased, outdated, or unsuitable. You must review outputs before relying on them, publishing them, submitting them for assessment, or using them in production.

The services do not provide legal, medical, financial, safety-critical, or other professional advice. Obtain qualified advice and independent verification when decisions could materially affect a person, property, finances, rights, health, or safety.

3. Your content

You retain ownership of prompts, uploads, and other content you provide. You grant Nodedistro AI a limited, worldwide licence to host, reproduce, transmit, process, and format that content only as needed to operate, secure, support, and improve the services, comply with law, and enforce these Terms. You confirm that you have the rights and permissions required to submit the content.

Subject to applicable law and third-party rights, you may use generated outputs. Similar or identical output may be generated for others, and Nodedistro AI does not guarantee that output is unique, copyrightable, non-infringing, or free of third-party restrictions.

4. Acceptable use

You may not use the services to break the law, violate another person’s rights, distribute malware, bypass security or usage controls, gain unauthorized system access, facilitate fraud or abuse, impersonate others, exploit minors, create sexual content involving minors, or generate instructions intended to cause serious harm. Do not upload confidential or personal information unless you are authorized to do so.

You may not resell access, scrape the services, overload infrastructure, reverse engineer protected portions of the service, or use automated means outside documented APIs without written permission. School users must follow their institution’s academic-integrity rules. We may limit, suspend, or terminate access when reasonably necessary to protect users, third parties, or the service.

5. Plans, billing, and credits

Paid plans, prepaid credits, overage charges, taxes, included usage, and renewal terms are shown at purchase or in your account. Usage measurements maintained by our systems control billing. Unless required by law or stated otherwise at purchase, completed charges and consumed credits are non-refundable. Subscriptions continue until cancelled and remain available through the end of the paid period. Prices and plan features may change prospectively with reasonable notice.

6. Third-party services

The services rely on third parties, including model providers, authentication, payment, email, hosting, web-search, and media-source services. Their services may be governed by separate terms. We are not responsible for third-party outages, content, policy changes, or actions outside our reasonable control.

7. Intellectual property

Nodedistro AI and its licensors own the service software, branding, interface, documentation, and related intellectual property, excluding your content. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the services for their intended purpose. Feedback may be used without restriction or compensation.

8. Availability and changes

We may modify, update, restrict, or discontinue features. We do not guarantee uninterrupted, secure, or error-free operation or permanent storage of content. Keep independent copies of important prompts, code, documents, presentations, and other generated files.

9. Disclaimers and liability

To the maximum extent permitted by law, the services are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or availability. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

To the maximum extent permitted by law, Nodedistro AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. Our aggregate liability arising from the services will not exceed the greater of CAD $100 or the amount you paid Nodedistro AI during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.

10. Indemnity

If you use the services for business purposes, you will defend and indemnify Nodedistro AI against third-party claims arising from your unlawful use, your content, or your material breach of these Terms, except to the extent caused by Nodedistro AI.

11. Termination

You may stop using the services at any time. We may suspend or terminate access for a material breach, unlawful activity, non-payment, security risk, or harm to the service or others. Where practical, we will provide notice and an opportunity to appeal through Support. Provisions that by their nature should survive termination will continue to apply.

12. Governing law and disputes

These Terms are governed by the laws of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law rules. Courts located in British Columbia have exclusive jurisdiction, unless consumer-protection law requires otherwise. Before filing a claim, contact Support and allow 30 days for an informal resolution attempt.

13. Changes and contact

We may update these Terms. Material changes will be communicated through the service or by email where appropriate. Continued use after the effective date means you accept the revised Terms. For questions, notices, or appeals, visit Nodedistro AI Support.
